Article 1
Applicability
1.1 In these general terms and conditions of sale and delivery, “Hacom” means: Hacom Trading B.V. (Keurmeesterstraat 22, 2984 BA Ridderkerk) or a company affiliated with it. “Product” or “products” means: products offered or delivered by Hacom.
1.2 These terms and conditions apply to all offers and/or agreements made by Hacom to or with customers acting in the course of a profession or business (hereinafter “the Customer”) as well as to their performance.
1.3 These terms and conditions apply to the exclusion of any general terms and conditions used by the (potential) Customer.
1.4 The Customer may only rely on provisions deviating from these terms and conditions if and insofar as Hacom has accepted them in writing.
1.5 Where these terms and conditions refer to “in writing”, this includes email.
Article 2
Offers, orders and agreements
2.1 All offers from Hacom are without obligation. Orders and acceptances of offers by the Customer are irrevocable.
2.2 Hacom is only bound once it has confirmed the order in writing or has started performance.
2.3 A quotation request, certificate request or message sent via the website is not an order and does not result in an agreement. Prices in quotations are in euros and exclusive of VAT, unless stated otherwise. Hacom may charge a surcharge for administrative or transport costs on small orders.
2.4 Inaccuracies in Hacom’s order confirmation must be reported to Hacom in writing within 3 days of the date of the order confirmation, failing which the order confirmation is deemed to reflect the agreement correctly and completely.
2.5 Verbal promises or agreements made by or with its staff only bind Hacom if it has confirmed them in writing.
2.6 These general terms and conditions apply in full to any amendments to the agreement.
Article 3
Conformity
3.1 All specifications given by Hacom regarding properties, dimensions, colours, quality and performance are made with care, but Hacom cannot guarantee against minor deviations. The Customer must inspect the products upon receipt.
3.2 Images, descriptions, size tables, datasheets and other information on the website or in catalogues do not bind Hacom. Colours may appear different on a screen than on the product.
3.3 The Customer must verify for themselves whether the products comply with government regulations in the country of destination. Use is at the Customer’s risk.
Article 4
Intellectual property
4.1 All intellectual property rights relating to the products, packaging and manuals belong to Hacom.
4.2 Use of Hacom’s trade names, trademarks (including COVER) and logos is only permitted with express written permission.

Article 5
Delivery time and delivery
5.1 Stated delivery times are approximate and not strict deadlines. Exceeding them does not give rise to compensation.
5.2 The delivery time is extended in the event of changed working conditions or delays by suppliers.
5.3 Delivery takes place at the moment the products have been set aside for the Customer. From that moment the risk lies with the Customer.
5.4 Hacom determines the method of packaging. Packaging material is not taken back.

5.6 If a product is not available, Hacom may deliver an equivalent product at the same price.
5.7 In case of non-acceptance, products are stored at the Customer’s expense and risk.
5.8 Hacom is entitled to perform and invoice an agreement in parts.
Article 6
Force majeure
6.1 In the event of force majeure, Hacom may suspend performance without being obliged to pay compensation.
6.2 Force majeure includes, among other things: war, strikes, fire, staff illness, transport disruption (including delays or blockages in sea and port transport), government measures such as import and export restrictions, and failures by third parties.
6.3 If the force majeure lasts longer than 12 weeks, both parties may dissolve the agreement for the part that cannot be performed.
